Important notice. By engaging Scott Lumley for consulting or advisory services, you agree to these terms and conditions. Please read them carefully before scheduling a consultation or engaging our services.

Services Provided

Scott Lumley provides business consulting and advisory services only. Our services include strategic guidance, business planning, leadership development, and entrepreneurial guidance based on four decades of real-world business experience.

We provide advice, insights, and recommendations. The implementation of any strategies or recommendations is solely at your discretion and responsibility.

Services Scope and Approach

We may assist with various business activities including deal facilitation, transaction support, real estate consulting, partnership arrangements, and business development opportunities. Our approach is based on results and mutual success.

However, any business decisions, investments, or transactions you pursue are made independently and at your own discretion. You remain responsible for conducting your own due diligence and making informed decisions about any opportunities presented.

Payment Terms

No upfront payments required. Payment is due only upon completion of agreed services.
  • Consultation sessions: payment is due at the end of each completed session
  • Project-based services: payment is due upon completion of the agreed scope of work and delivery of materials
  • Ongoing advisory: payment terms will be clearly outlined in a separate service agreement
  • Payment methods: major credit cards, bank transfers, and other methods as mutually agreed

All fees and schedules will be communicated and agreed upon before services begin. Invoices will be provided for all completed work.

Client Responsibilities

  • Provide accurate and complete information necessary for services
  • Attend scheduled sessions on time or provide reasonable notice for rescheduling
  • Take responsibility for all business decisions and actions based on advice
  • Conduct your own due diligence on any opportunities, investments, or ventures
  • Seek appropriate legal, financial, and professional advice as needed
  • Make timely payment upon completion of services as agreed

No Guarantees or Warranties

While Scott brings four decades of experience, we make no guarantees regarding business outcomes, financial results, or success. Results depend on numerous factors including market conditions, execution, timing, and circumstances beyond our control.

Services are provided "as is" and we make no warranties, express or implied, regarding the services or outcomes.

Limitation of Liability

To the maximum extent permitted by law, Scott Lumley and its representatives shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Lost profits or business opportunities
  • Business interruption or loss of revenue
  • Investment losses or financial setbacks
  • Damages arising from business decisions made based on advice

Our total liability for any claims arising from our services shall not exceed the total fees paid for the specific services in question.

Confidentiality

We respect your privacy and maintain confidentiality regarding business information shared during sessions. We will not disclose your confidential information to third parties without your consent, except as required by law. Clients likewise agree to keep any proprietary methods, frameworks, or materials confidential.

Cancellation and Rescheduling

Cancellations: you may cancel scheduled consultations with at least 24 hours notice without penalty. Cancellations with less than 24 hours notice may be subject to a fee.

Rescheduling: we are happy to reschedule when reasonable notice is provided.

No-shows: if you do not attend a scheduled session without notice, the full fee may be charged.

Intellectual Property

All materials, frameworks, methodologies, and content provided by Scott Lumley remain our intellectual property. Clients receive a personal, non-transferable license to use these materials for their own business purposes only, and may not reproduce, distribute, sell, or commercialize them without written permission.

Termination of Services

Either party may terminate ongoing arrangements with written notice. For project-based work, services will be completed to the agreed scope before termination takes effect. Upon termination, clients remain responsible for payment of all services rendered up to that date.

Dispute Resolution

In the event of any dispute arising from these terms or our services, both parties agree to first attempt resolution through good faith negotiation and mediation before pursuing legal action.

Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict of law principles.

Changes to Terms

We reserve the right to update these terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.
